These Terms of Service constitute a legally binding agreement between you, whether personally or on behalf of an entity, and JBARZ AVIATION LLC, a Utah limited liability company doing business as JBarz Aviation, concerning your access to and use of the website located at https://www.jbarzaviation.buzz and any related services, features, content, applications, or offerings provided by JBARZ AVIATION LLC (collectively, the Services). By accessing or using the Services, you represent and warrant that you have read, understood, and agree to be bound by these Terms of Service in their entirety. If you do not agree with all of these Terms, you are expressly prohibited from using the Services and must discontinue use immediately. Supplemental terms, policies, or documents that may be posted on the Services from time to time are hereby expressly incorporated herein by reference.

JBARZ AVIATION LLC provides specialized computer systems design services, including but not limited to embedded avionics software engineering, simulation and digital twin platform development, cloud and data infrastructure architecture, real-time operating system integration, cybersecurity and compliance solutions, sensors and data acquisition systems, and related professional engineering and consulting services for the aerospace, defense, and advanced aviation industries.
The scope, specifications, deliverables, timelines, and pricing of any specific project, engagement, or service engagement with JBARZ AVIATION LLC shall be governed by a separate written agreement, statement of work, or service contract executed by both parties. These Terms of Service govern your general use of the website and publicly available content, but do not by themselves create a professional services relationship between you and JBARZ AVIATION LLC.
Your use of the Services, including browsing the website, reading blog posts, downloading whitepapers, or submitting inquiries through contact forms, does not establish an engineer-client, consultant-client, contractor-client, or any other professional or fiduciary relationship between you and JBARZ AVIATION LLC. A formal professional relationship is established only through a duly executed written agreement signed by both parties specifying the scope of work, deliverables, compensation, and other material terms.
Any information provided on the Services is for general informational purposes only and is not intended to constitute professional engineering, legal, financial, or technical advice. You should not act or refrain from acting on the basis of any content included on the Services without seeking appropriate professional advice tailored to your specific circumstances.

All other names, logos, product and service names, designs, and slogans on the Services are the trademarks of their respective owners.
Subject to your strict compliance with these Terms of Service, JBARZ AVIATION LLC grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Services and to download or print a copy of any portion of the Content to which you have properly gained access, solely for your personal, non-commercial use or for your internal business evaluation purposes. This license does not include any right to reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, or otherwise exploit any Content without the express prior written consent of JBARZ AVIATION LLC.

WITHOUT LIMITING THE FOREGOING, JBARZ AVIATION LLC MAKES NO REPRESENTATION OR WARRANTY THAT: (A) THE SERVICES WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS; (B) THE SERVICES WILL BE AVAILABLE ON AN UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE BASIS; (C) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICES WILL BE ACCURATE, RELIABLE, OR SATISFACTORY; (D) ANY ERRORS OR DEFECTS IN THE SERVICES WILL BE CORRECTED; OR (E) THE SERVICES OR THE SERVERS THAT MAKE THE SERVICES AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL JBARZ AVIATION LLC, ITS MEMBERS, MANAGERS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, OR ASSIGNS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, PUNITIVE, OR ENHANCED DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR COST OF PROCUREMENT OF SUBSTITUTE SERVICES, ARISING FROM OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICES, EVEN IF JBARZ AVIATION LLC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
WITHOUT LIMITING THE FOREGOING, AND TO THE FULLEST EXTENT PERMITTED BY LAW, THE AGGREGATE LIABILITY OF JBARZ AVIATION LLC TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO JBARZ AVIATION LLC DURING THE THREE MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00). THE EXISTENCE OF MORE THAN ONE CLAIM SHALL NOT ENLARGE THIS LIMIT.
You agree to defend, indemnify, and hold harmless JBARZ AVIATION LLC, its members, managers, officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, penalties, or fees (including reasonable attorneys fees and legal costs) arising out of or relating to: (a) your violation of these Terms of Service; (b) your use of the Services, including but not limited to any use of the Content, Services, or products other than as expressly authorized in these Terms; (c) your violation of any applicable law, rule, or regulation; (d) your violation of any third-party right, including without limitation any intellectual property, privacy, or proprietary right; or (e) any claim that your Submissions caused damage to a third party.
JBARZ AVIATION LLC reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of these claims. You agree not to settle any matter without the prior written consent of JBARZ AVIATION LLC. We will use reasonable efforts to notify you of any such claim, action, or proceeding which is subject to this indemnification upon becoming aware of it.
The Services and any related products, technologies, software, or technical data provided by JBARZ AVIATION LLC may be subject to United States export control laws and regulations, including the International Traffic in Arms Regulations (ITAR) administered by the U.S. Department of State and the Export Administration Regulations (EAR) administered by the U.S. Department of Commerce. You represent and warrant that you are not located in, under the control of, or a national or resident of any country or territory that is subject to comprehensive U.S. economic sanctions or trade embargoes.
You agree to comply strictly with all U.S. export laws and regulations and shall not, directly or indirectly, export, re-export, transfer, or release any Services, products, technology, software, or technical data received from JBARZ AVIATION LLC to any destination, entity, or person prohibited by U.S. law without first obtaining the required authorization from the appropriate U.S. government agency. You acknowledge that certain technical data and defense services provided by JBARZ AVIATION LLC may be subject to ITAR restrictions, and you agree to comply with all applicable ITAR requirements.
JBARZ AVIATION LLC operates in the aerospace and defense sector and provides services that may involve technical data or defense services controlled under the International Traffic in Arms Regulations (ITAR) (22 C.F.R. Parts 120-130) or the Export Administration Regulations (EAR) (15 C.F.R. Parts 730-774). Access to ITAR-controlled or EAR-controlled technical data is restricted to U.S. persons as defined under applicable law, and to foreign persons specifically authorized by a valid export license or other approval from the relevant U.S. government agency.
By requesting or accessing any technical data, services, or deliverables from JBARZ AVIATION LLC, you certify that you are either a U.S. person as defined in 22 C.F.R. Part 120.15 or a foreign person who has obtained all necessary authorizations from the U.S. Department of State or U.S. Department of Commerce, as applicable. You further agree not to disclose, transfer, or otherwise make available any ITAR or EAR controlled technical data or defense services to any foreign person without the prior written approval of JBARZ AVIATION LLC and any required U.S. government authorization.
In the course of your interactions with JBARZ AVIATION LLC, you may receive or have access to proprietary, confidential, or trade secret information belonging to JBARZ AVIATION LLC, its clients, or its business partners. Confidential Information includes, but is not limited to, technical data, software source code, engineering designs, schematics, algorithms, business plans, pricing information, customer lists, methodologies, trade secrets, and any other information that a reasonable person would understand to be confidential under the circumstances.
You agree to hold all Confidential Information in strict confidence and not to disclose, distribute, reproduce, or use any Confidential Information except as expressly authorized in writing by JBARZ AVIATION LLC. You shall use at least the same degree of care to protect Confidential Information as you use to protect your own confidential information of a similar nature, but in no event less than reasonable care. Your obligations of confidentiality shall survive the termination of these Terms and your cessation of use of the Services.
Your use of the Services is also governed by our Privacy Policy, which is incorporated herein by reference and available at https://www.jbarzaviation.buzz/privacy. The Privacy Policy explains how JBARZ AVIATION LLC collects, uses, stores, shares, and protects your personal information. By using the Services, you consent to the collection, use, processing, and storage of your information as described in the Privacy Policy. In the event of any conflict between these Terms of Service and the Privacy Policy regarding data handling practices, the Privacy Policy shall control.
These Terms of Service shall remain in full force and effect while you use the Services. JBARZ AVIATION LLC reserves the right, in its sole discretion and without prior notice or liability to you, to suspend, restrict, terminate, or block your access to and use of the Services, including any portion thereof, at any time, for any reason or for no reason, including without limitation for breach of these Terms of Service, for conduct that JBARZ AVIATION LLC believes is harmful to other users, to JBARZ AVIATION LLC, to third parties, or for other lawful purposes.
Upon termination of your access to the Services, all provisions of these Terms which by their nature should survive termination shall survive, including without limitation ownership provisions, warranty disclaimers, indemnification obligations, and limitations of liability. Termination of your access to the Services shall not relieve you of any obligations arising or accruing prior to such termination or limit any liability that you otherwise may have to JBARZ AVIATION LLC or any third party.
These Terms of Service and your use of the Services shall be governed by and construed in accordance with the laws of the State of Utah, United States of America, without regard to its conflict of law principles or provisions. The United Nations Convention on Contracts for the International Sale of Goods (CISG) is expressly excluded from application to these Terms.
Any legal suit, action, or proceeding arising out of, or related to, these Terms of Service or the Services shall be instituted exclusively in the federal courts of the United States located in the District of Utah or the courts of the State of Utah located in Utah County, although we retain the right to bring any suit, action, or proceeding against you for breach of these Terms in your country of residence or any other relevant country. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.
Before filing any legal claim against JBARZ AVIATION LLC, you agree to first attempt to resolve the dispute informally by contacting us at contact@jbarzaviation.buzz with a written description of your claim, including the nature and basis of the claim, the specific relief sought, and your contact information. You and JBARZ AVIATION LLC agree to use good-faith efforts to resolve the dispute through informal negotiation for a period of at least sixty (60) days before initiating any formal legal proceedings.
If the parties are unable to resolve a dispute through informal negotiation, any controversy or claim arising out of or relating to these Terms of Service, or the breach thereof, shall be settled by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules, and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof. The arbitration shall be conducted in Utah County, Utah, unless otherwise agreed to by the parties in writing. The arbitration shall be conducted before a single arbitrator with substantial experience in commercial disputes and technology matters.
Notwithstanding the foregoing, JBARZ AVIATION LLC may seek injunctive or other equitable relief to protect its intellectual property rights, confidential information, or to prevent irreparable harm in any court of competent jurisdiction without the requirement of posting a bond or proving actual damages. You agree that any violation of the intellectual property provisions or confidentiality provisions of these Terms would cause JBARZ AVIATION LLC irreparable harm for which monetary damages would be inadequate, entitling JBARZ AVIATION LLC to injunctive relief.
YOU AND JBARZ AVIATION LLC AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION OR PROCEEDING. UNLESS BOTH YOU AND JBARZ AVIATION LLC AGREE OTHERWISE IN WRITING, THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSONS CLAIMS AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A REPRESENTATIVE OR CLASS PROCEEDING. THE ARBITRATOR MAY AWARD RELIEF ONLY IN FAVOR OF THE INDIVIDUAL PARTY SEEKING RELIEF AND ONLY TO THE EXTENT NECESSARY TO PROVIDE RELIEF WARRANTED BY THAT PARTYS INDIVIDUAL CLAIM.
If any court or arbitrator determines that the class action waiver set forth in this section is void, unenforceable, or unconscionable for any reason, then the dispute resolution provisions set forth in Section 19 shall be deemed null and void in their entirety, and the parties shall be deemed to have not agreed to arbitrate disputes.
You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to the use of the Services or these Terms of Service must be filed within one (1) year after such claim or cause of action arose or be forever and permanently barred. This limitations period applies to all claims, whether based in contract, tort (including negligence), strict liability, statute, or any other legal or equitable theory. Nothing in this section shall be construed to extend any statute of limitations that would otherwise expire sooner under applicable law.
JBARZ AVIATION LLC shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, earthquakes, hurricanes, tornadoes, extreme weather events, epidemics, pandemics, public health emergencies, quarantine restrictions, accidents, strikes or other labor disputes, shortages or delays in transportation, fuel or energy shortages, disruptions or failures of telecommunications networks or infrastructure, shortages of materials, or any other event or circumstance beyond the reasonable control of JBARZ AVIATION LLC.
In the event of a force majeure condition, JBARZ AVIATION LLC shall use commercially reasonable efforts to resume performance as soon as practicable under the circumstances and shall provide you with notice of the nature and anticipated duration of the force majeure event. If a force majeure event continues for a period of more than ninety (90) days, either party may terminate the affected services upon written notice to the other party.
These Terms of Service, together with our Privacy Policy and any other legal notices, policies, or supplemental terms published by JBARZ AVIATION LLC on the Services, constitute the entire agreement between you and JBARZ AVIATION LLC concerning the subject matter hereof and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, whether established by custom, practice, policy, or precedent, with respect to the Services.
No waiver by JBARZ AVIATION LLC of any term or condition set forth in these Terms of Service shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Any failure of JBARZ AVIATION LLC to assert a right or provision under these Terms of Service shall not constitute a waiver of such right or provision. A waiver of any breach of any provision of these Terms shall not be construed as a continuing waiver of other breaches of the same or other provisions.
If any provision of these Terms of Service is held by a court of competent jurisdiction or an arbitrator to be invalid, illegal, void, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent necessary so that the remaining provisions of these Terms will continue in full force and effect. The invalidity of any provision shall not affect the validity or enforceability of any other provision, and all other provisions shall remain in full force and effect.
If any invalid, unenforceable, or illegal provision would be valid, enforceable, or legal if some part of it were deleted, modified, or narrowed in scope, the provision shall apply with whatever modification is necessary to give effect to the commercial intention of the parties as reflected in these Terms. The parties agree that it is their intention that these Terms be enforced to the fullest extent permissible under applicable law and public policy.
You may not assign, transfer, delegate, or sublicense any of your rights or obligations under these Terms of Service, whether by operation of law, merger, acquisition, change of control, or otherwise, without the prior written consent of JBARZ AVIATION LLC. Any attempted assignment, transfer, delegation, or sublicense in violation of this provision shall be null and void.
JBARZ AVIATION LLC may assign, transfer, delegate, or sublicense any or all of its rights and obligations under these Terms of Service at any time, without restriction and without notice to you, including in connection with a merger, acquisition, reorganization, sale of all or substantially all assets, or by operation of law or otherwise. These Terms shall be binding upon and inure to the benefit of the parties hereto and their respective successors and permitted assigns.
All provisions of these Terms which by their nature should survive termination shall survive termination of your access to the Services, including but not limited to: the provisions concerning intellectual property rights, ownership, confidentiality, disclaimer of warranties, limitation of liability, indemnification, governing law, dispute resolution, class action waiver, severability, and any other provisions that are intended to operate after termination. Termination of your right to use the Services shall not relieve either party of any obligation or liability arising prior to the effective date of such termination.
All notices, requests, consents, claims, demands, waivers, and other communications required or permitted under these Terms of Service shall be in writing and addressed to JBARZ AVIATION LLC at the address set forth in Section 28. Notices to you may be sent to the email address or physical address you provide to JBARZ AVIATION LLC through the Services, or by posting such notice on the Services.
Notice shall be deemed given: (a) when delivered personally; (b) on the third business day after being mailed by certified or registered U.S. mail, return receipt requested and postage prepaid; (c) on the next business day after being sent by a nationally recognized overnight courier service; or (d) on the date sent by email if sent during normal business hours of the recipient, and on the next business day if sent after normal business hours. You consent to receive notices and communications from JBARZ AVIATION LLC electronically via email, via the Services, or via other electronic means.
